Thales locks Exail in, closing in 2028

Thales and Exail Technologies signed definitive terms on 30 and 31 July. The tender offer for the rest of Exail's shares is now expected to close by early 2028, later than July implied.

ConflictDeveloping
Key takeaway

The deal is binding, but Thales and Exail bid as separate companies through 2027.

Thales and Exail Technologies signed a definitive combination agreement on 30 and 31 July, converting the engaging accord struck with the Gorge family on 6 July into binding terms 1. Exail builds autonomous underwater and surface vehicles and the inertial navigation systems that let them find their way without satellite positioning. Thales brings sonar and mine countermeasures. Put together, the two make France's only vertically integrated undersea prime, spanning sensor, vehicle and navigation.

The new information is not the price, which was public in July. The mandatory tender offer for the balance of Exail's shares is now expected to close by early 2028, materially later than the timetable the July announcement implied. A tender offer for a free float counts as procedurally routine; the 2028 date does not, and it stands as the only hard number the definitive agreement produced.

Eighteen extra months of pending ownership cost Exail more than paperwork. Its bid teams work under acquisition uncertainty across two procurement cycles instead of one. Customers signing multi-year undersea contracts before 2028 are contracting with an entity whose ownership completes mid-contract, which is a question any competent procurement lawyer will raise. And competitors get a long, clearly marked window in which to pitch integration risk against the combined group.

Kongsberg and DRASS already named the contest that window opens onto. The two put 2027 on their joint AUV bid for Pillar II of AUKUS, the Australia, UK and US security pact, when they launched it at ILA Berlin . A rival that finishes assembling itself a year after its target contest has to run its integration and its bidding simultaneously, with the same senior people doing both.

Deep Analysis

In plain English

Thales, a big French defence and technology company, is buying Exail Technologies, which makes uncrewed underwater and surface vehicles and navigation systems used by navies including the Royal Navy. The two companies first agreed the outline of a deal on 6 July; this week they signed the binding, definitive version of that agreement. Thales is paying EUR134 for each share held by the Gorge family, who currently own Exail, valuing the whole company at about EUR3.9bn. Buying out every other shareholder will take longer: that process is now expected to finish by early 2028, later than first suggested in July.

Deep Analysis
Root Causes

Thales's own flagship undersea programme, MMCM, already depended on Exail-adjacent autonomous vehicle and navigation technology before this deal, so buying Exail folds a supplier Thales was structurally reliant on back inside the company rather than leaving it exposed to a rival buyer.

Exail's own mine-countermeasures contract with an undisclosed European navy this month is exactly the kind of asset Thales is buying into: a repeat defence supplier whose customers it will not always be able to name, but whose order book it will now consolidate.

The extended timeline to early 2028 for the full tender offer reflects that a mandatory tender offer under French takeover rules has to clear minority-shareholder and regulatory steps a single-family stake sale does not, a procedural rather than commercial cause of the delay.

What could happen next?
  • Consequence

Thales now owns, rather than merely sources from, one of the main European suppliers of autonomous underwater and surface vehicles, narrowing the field of independent AUV/USV suppliers navies can buy from.

  • Meaning

The tender offer's slip to early 2028 shows the minority-shareholder buyout, not the controlling-stake sale, is the slower half of a French defence-sector acquisition.
