Sold the ISAB Priolo refinery to GOI Energy in May 2023; Lukoil's Swiss trading arm.

Litasco, Lukoil's Swiss trading arm, sold Sicily's ISAB refinery to GOI Energy in May 2023. OFAC's 24 July amendment to FAQ 1224 confirms Litasco's exit sits entirely outside the licensing track still governing Lukoil's remaining assets.

Background

Litasco is Lukoil's Swiss-based international trading and marketing Arm, the vehicle through which the Russian oil major sells refined products and divests refining assets outside Russia. Its May 2023 sale of the 320,000 b/d ISAB Priolo refinery to GOI Energy, cleared by the Italian government the previous month, remains its most prominent European exit.

That 2023 sale is why some coverage still wrongly ties ISAB to Lukoil's live US sanctions exposure. Litasco does not appear in any of the licensing extensions Washington has issued for Lukoil's remaining international Arm, and neither does the refinery it sold three years earlier: a transaction Litasco completed in 2023 is not something a 2026 licensing round can retroactively cover.

Litasco has held no stake in ISAB since the 2023 sale completed. GOI Energy's subsequent agreement to sell the refinery on to Ludoil Energy runs through Italian regulators and a Milan court rather than any Lukoil sanctions licence, underlining how cleanly Litasco's exit separated the refinery from Lukoil's ownership.

Key Issues
ISAB divestment

A 2023 exit still gets misread

Litasco completed its sale of the ISAB Priolo refinery to GOI Energy in May 2023, three years before OFAC amended FAQ 1224 on 24 July 2026 to spell out the conditions for a Lukoil International GmbH asset sale. The guidance covers only Lukoil's Austrian-registered subsidiary and units it owns 50% or more; it neither names Litasco nor reaches back to unwind a corporate transaction Litasco finished years earlier.

That clean separation is why GOI Energy's own Onward sale of ISAB to Ludoil Energy runs through Italian regulators and a Milan court rather than any Lukoil sanctions channel. For Litasco, the episode is a case study in how a completed European exit keeps getting pulled back into live Lukoil sanctions coverage months after the fact.
