Background
Sky is one of Europe's largest pay-television and streaming operators, with approximately 24 million customers across the United Kingdom, Italy, Germany, and Austria. It is wholly owned by Comcast, which acquired full ownership in 2018 following a contested bid against Disney. Sky and ITV agreed terms on 25 June 2026 for Sky to buy ITV's Media and Entertainment Arm, comprising ITV's linear channels and the ITVX streaming service, for £1.6bn; Love Productions, maker of The Great British Bake Off, moves to ITV Studios, which stays out of the deal. A formal announcement is expected within approximately two weeks, pending Ofcom and CMA approval. ITV's chief executive Carolyn McCall had confirmed the talks remained "very much actively engaged" at the Enders Analysis TMT Leaders Live conference on 4 June 2026.
This is Comcast's Sky, the UK, Italian, German, and Austrian pay-TV business, which is wholly distinct from Sky Deutschland, the German pay-TV unit that Comcast sold to RTL Group in a separate transaction that closed on 1 June 2026 for €68m upfront plus variable consideration capped at €377m. Sky (UK/IT) retains its operations independently. Founded as BSkyB in 1990 via the merger of Murdoch's Sky Television and the British Satellite Broadcasting consortium, Sky operates satellite and streaming services branded Sky Glass and Sky Stream in the UK and Sky Italia in Italy. Sky News provides 24-hour broadcast news in the UK and internationally. Sky holds significant content rights including Premier League football, F1, and HBO programming across its European territories. Sky is a participating member of the SMART STORIES open-standards consortium for agentic newsroom production alongside the BBC, Channel 4, and ITV.
For Comcast, the ITV deal would ADD a large free-to-air UK audience and a globally traded production catalogue to a pay-TV footprint that already dominates premium UK television. Its AI strategy is primarily visible in personalisation, content-discovery algorithms, and sports-broadcast analytics, where Sky Sports has invested in real-time visual overlays for cricket and football. The ITV Studios catalogue, if acquired, would give Comcast a significant training-data asset in English-language programming. Ofcom must assess whether a US-owned entity controlling both Sky and ITV's broadcast output is consistent with the public-interest test in the Broadcasting Act; media plurality and commissioning-market terms of trade for independent producers are the central concerns.
